1. Service Scope
We deploy and maintain high-velocity infrastructure. This is a managed service model covering technical setup, hosting, and stewardship updates.
Canyon Pass Partners ("Provider") provides the Client with managed digital infrastructure services including:
- Astro-based framework configuration and performance deployment.
- Managed hosting via high-availability edge networks.
- SSL, security patching, and technical maintenance.
- Consent Mode v2 implementation and analytics stewardship.
2. Payments & Subscription
Recurring billing via Stripe. Late payments exceeding 14 days trigger automatic infrastructure suspension.
Services are billed on a recurring basis. By providing a payment method, you authorize the Provider to charge recurring fees via Stripe. Failure to settle balances within 14 days of the due date results in immediate suspension of technical assets, including site access and managed email.
3. Cancellation & Termination
Site code is non-portable. Cancellation terminates hosting and performance scripts at the end of the billing cycle.
Upon cancellation, services remain active until the end of the current billing period. The infrastructure is non-portable: proprietary source code, performance scripts, and Astro components are not exported for external hosting.
4. Intellectual Property
Client owns content assets. Provider retains 100% ownership of the proprietary code engine and performance logic.
Client Content: You retain ownership of all brand assets,
images, and copy.
Proprietary Technology: Provider retains absolute ownership
of the "engine"—including HTML/CSS architecture, JavaScript modules, and
proprietary Consent Mode v2 deferral logic.
5. Client Responsibilities
The Client warrants that all provided assets are legally owned or licensed. Client agrees to indemnify Provider against legal claims arising from content provided for the infrastructure.
6. Limitation of Liability
Services are provided "AS IS." Provider is not liable for indirect damages, lost revenue, or business interruptions caused by third-party platform failures (Netlify, Google, etc.) or algorithm shifts.
